These General Terms and Conditions (GTC) apply exclusively to entrepreneurs within the meaning of § 14 BGB (German Civil Code), legal entities under public law, and special funds under public law within the European Union. By placing an order, the customer accepts these conditions in their currently valid version.

§ 1 Scope of Application

These GTC apply to all deliveries, services, and offers provided by Solarcraft GmbH to entrepreneurs (§ 14 BGB) within the European Union. Conflicting or deviating conditions of the customer are only recognized if Solarcraft expressly agrees to their validity in writing.

§ 2 Conclusion of Contract

  • Our offers are subject to change and non-binding.
  • A contract is only concluded upon written order confirmation or delivery of the goods.
  • Technical changes as well as changes in shape, color, or weight remain reserved within reasonable limits.
  • Solarcraft supplies exclusively commercial customers. Verification of entrepreneurial status and a credit check (e.g., via Creditreform) take place upon or after registration.

§ 3 Prices and Payment Conditions

  • All prices are net prices in Euros plus statutory VAT, freight, packaging, and insurance.
  • The prices at the time of the order apply. Price changes due to changed market conditions remain reserved.
  • Unless otherwise agreed, invoices are due immediately upon receipt without deduction.
  • In the event of default, Solarcraft is entitled to charge default interest at a rate of 9 percentage points above the base interest rate (§ 288 (2) BGB).

§ 4 Credit Line and Solvency Check

  • Solarcraft may perform credit checks on new customers and set payment terms depending on the result.
  • Individual credit lines and payment terms are determined based on creditworthiness and order volume.
  • Solarcraft reserves the right to execute deliveries only against prepayment or security if creditworthiness is subsequently impaired.

§ 5 Retention of Title

The delivered goods remain the property of Solarcraft GmbH until full payment of all claims. The customer is entitled to resell the goods in the ordinary course of business but assigns all resulting claims to Solarcraft as security.

§ 6 Delivery, Shipping, and Transfer of Risk

  • Deliveries are made ex warehouse Karlsruhe at the customer's expense and risk.
  • The risk passes to the customer upon handover to the forwarder or carrier.

§ 7 Delivery Periods and Force Majeure

  • Delivery dates are only binding if confirmed in writing.
  • In cases of force majeure, raw material shortages, or strikes, delivery periods are extended appropriately.

§ 8 Returns

  • Returns are only accepted after written approval.
  • Goods must be returned freight prepaid and in original packaging.

§ 9 Warranty

  • The warranty period is 12 months from the transfer of risk.
  • Obvious defects must be reported in writing within 7 days.

§ 10 Liability

  • Solarcraft is liable only for intent and gross negligence.
  • Liability for indirect damages or lost profits is excluded.

§ 16 Jurisdiction and Applicable Law

The place of performance is Karlsruhe. The place of jurisdiction is Mannheim. The law of the Federal Republic of Germany applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
