General Terms and Conditions (GTC) – Solarcraft GmbH

These General Terms and Conditions (GTC) apply exclusively to entrepreneurs within the meaning of §14 of the German Civil Code (BGB), legal entities under public law, and special funds under public law within the European Union. By placing an order, the customer accepts these terms and conditions in their current version.

§ 1 Scope
These GTC apply to all deliveries, services, and offers of Solarcraft GmbH to entrepreneurs (§14 BGB) within the European Union. Conflicting or deviating terms of the customer shall only apply if Solarcraft expressly agrees to them in writing.
§ 2 Conclusion of Contract
- Our offers are non-binding and subject to change.
- A contract is only concluded upon written order confirmation or delivery of the goods.
- Technical changes or variations in form, color, or weight remain reserved within reasonable limits.
- Solarcraft supplies only business customers. Verification of business status and a credit check (e.g., via Creditreform) may take place during or after registration.
§ 3 Prices and Payment Terms
- All prices are net prices in euros plus statutory VAT, freight, packaging, and insurance.
- Applicable prices are those valid at the time of order. Price adjustments due to market changes remain reserved.
- Invoices are payable immediately upon receipt without any deduction unless otherwise agreed.
- In the event of default, Solarcraft is entitled to charge default interest of 9 percentage points above the base rate (§288 para. 2 BGB).
§ 4 Credit Line, Credit Check and Payment Arrangements
- Solarcraft may perform credit checks for new customers and determine payment terms based on the results.
- Individual credit limits and payment terms are determined according to creditworthiness and order volume.
- Solarcraft reserves the right to deliver only against advance payment or security if the customer’s creditworthiness deteriorates.
- If the customer exceeds the credit limit, Solarcraft may withhold further deliveries until outstanding payments are settled.
§ 5 Retention of Title
The delivered goods remain the property of Solarcraft GmbH until all claims have been fully paid. The customer is entitled to resell the goods in the ordinary course of business but hereby assigns all resulting claims to Solarcraft as security.
§ 6 Delivery, Shipping and Transfer of Risk
- Deliveries are made ex works Karlsruhe at the customer’s expense and risk.
- The risk passes to the customer when the goods are handed over to the carrier or freight forwarder.
- Partial deliveries are permissible if reasonable for the customer.
§ 7 Delivery Periods, Delay and Force Majeure
- Delivery dates are only binding if confirmed in writing.
- In cases of force majeure, pandemics, raw material shortages, strikes, or transport restrictions, delivery times shall be extended accordingly.
- Claims for damages due to delayed delivery are excluded unless caused by intent or gross negligence.
§ 8 Returns and Complaints
- Returns are only accepted after prior written approval.
- Goods must be returned carriage paid and in their original packaging.
- In the case of unauthorized returns, Solarcraft may charge handling fees.
§ 9 Warranty
- The warranty period is 12 months from the transfer of risk.
- Obvious defects must be reported in writing within 7 days.
- For justified claims, Solarcraft will, at its discretion, repair or replace the goods.
- Further claims, especially for damages, are excluded unless caused by intent or gross negligence.
§ 10 Liability
- Solarcraft is liable only for intent and gross negligence.
- In cases of slight negligence, liability exists only for breaches of essential contractual obligations and is limited to foreseeable, typical damage.
- Liability for indirect damage or lost profits is excluded.
- The limitations do not apply to injury to life, body, or health.
§ 11 Product Liability and Warranties
Manufacturer warranty information is non-binding and does not constitute a separate guarantee by Solarcraft GmbH. Statutory product liability rights remain unaffected.
§ 12 Data Protection
Solarcraft processes personal data exclusively in accordance with applicable data protection laws. Details can be found in our Privacy Policy. As part of the credit check, data may be transmitted to credit agencies.
§ 13 Export Control and Sanctions
The delivered goods may be subject to export restrictions. The customer is responsible for compliance with all applicable export, customs, and sanction regulations. Delivery delays due to embargoes or export checks do not justify claims for damages.
§ 14 Insolvency of the Customer
If it becomes apparent after conclusion of the contract that the payment claim is jeopardized due to lack of financial capacity, Solarcraft may demand advance payment or security. In case of insolvency or suspension of payment, Solarcraft is entitled to withdraw from the contract.
§ 15 Assignment and Set-Off
The customer may assign claims against Solarcraft only with written consent. Set-off is permitted only with undisputed or legally established claims.
§ 16 Place of Performance, Jurisdiction and Applicable Law
The place of performance for all deliveries and payments is Karlsruhe. The place of jurisdiction is Mannheim. German law applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
§ 17 Severability Clause
If any provision of these GTC is or becomes invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid one that most closely reflects the economic intent.
